Terms of Service

Oney Nexus is an AI-powered autonomous corporate intelligence platform that leverages multiple artificial intelligence providers to deliver professional deliverables including, but not limited to, market research, content plans, legal document drafts, code reviews, and business analysis. The Service operates through a single interface that orchestrates multiple AI models to generate comprehensive outputs.

2.1. You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service.

2.2. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2.3. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2.4. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.1. You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.

3.2. You shall not attempt to reverse engineer, decompile, or disassemble any part of the Service.

3.3. You shall not use the Service to generate content that infringes upon the intellectual property rights of any third party.

3.4. You shall not use automated systems or software to extract data from the Service without our prior written consent.

3.5. You shall not share your account credentials with any third party or allow multiple individuals to use a single account.

4.1. The Service, including all software, algorithms, designs, text, graphics, and other materials, is owned by or licensed to Oney Finansal Danismanlik Turizm ve Dis Ticaret AS and is protected by intellectual property laws.

4.2. Subject to your compliance with these Terms, you retain ownership of the original content you provide as input to the Service ("User Input").

4.3. AI-generated outputs produced by the Service ("Outputs") are provided to you for your use. You are granted a non-exclusive, worldwide license to use, modify, and distribute the Outputs for your business purposes. You acknowledge that similar or identical Outputs may be generated for other users.

4.4. The Oney Nexus name, logo, and all related marks are trademarks of Oney Finansal Danismanlik Turizm ve Dis Ticaret AS. You may not use these marks without our prior written consent.

5.1. The Service offers both pay-per-task and subscription-based pricing models. Current pricing is displayed on our website and within the platform.

5.2. All fees are stated in the applicable currency and are exclusive of taxes unless otherwise indicated. You are responsible for any applicable taxes.

5.3. Pay-per-task charges are billed at the time of task execution. Subscription fees are billed in advance on a recurring basis according to the selected plan.

5.4. We reserve the right to modify pricing with at least 30 days advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5.5. Payment processing is handled by third-party payment processors. Your use of these processors is subject to their respective terms and conditions.

6.1. Refund eligibility and procedures are governed by our separate Refund Policy, which is incorporated into these Terms by reference.

6.2. Free tasks provided as part of promotional offers or trial periods are non-refundable and carry no monetary value.

7.1. The Service utilizes artificial intelligence technologies provided by third-party providers including, but not limited to, Anthropic, Google, OpenAI, and Perplexity. AI-generated content may contain errors, inaccuracies, or omissions.

7.2. Outputs generated by the Service do not constitute professional advice of any kind, including but not limited to legal, financial, medical, tax, or investment advice.

7.3. You are solely responsible for reviewing, validating, and determining the suitability of any AI-generated content before relying upon or distributing it.

7.4. We do not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of any AI-generated content.

8.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEY FINANSAL DANISMANLIK TURIZM VE DIS TICARET AS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

8.2. Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8.3. The limitations in this section apply regardless of the theory of liability, whether based on warranty, contract, tort, negligence, or otherwise.

You agree to indemnify, defend, and hold harmless Oney Finansal Danismanlik Turizm ve Dis Ticaret AS and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10.1. We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10.2. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

10.3. We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after such changes constitutes acceptance of the revised Terms.

11.1. You may terminate your account at any time by contacting us at legal@oneyventures.com or through the account settings in the platform.

11.2. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we determine that your use poses a risk to the Service or other users.

11.3. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, and indemnification.

12.1. These Terms are governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

12.2. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days.

12.3. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Istanbul, Republic of Turkey.

12.4. Notwithstanding the foregoing, nothing in these Terms shall prevent either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

13.1. These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, AI Disclaimer, Refund Policy, KVKK Disclosure, and Data Processing Agreement, constitute the entire agreement between you and us regarding the Service.

13.2. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4. You may not assign or transfer your rights under these Terms without our prior written consent.
